These terms and conditions are entered into by and between you (the Site visitor) and Totalis Behavioral Health, Inc. Totalis’ company name, Totalis’ logo and all related names, logos, product and service names, designs and slogans are trademarks of Totalis or its affiliates or licensors. You must not use such names, designs or marks without the prior written permission of Totalis. All other names, logos, product and service names, designs and slogans on this Site are the trademarks of their respective owners.

Submissions

You agree that any materials, including but not limited to questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials, or other information (other than personal identifying information or health information that are subject to Totalis’ Privacy Notice and/or Notice of Privacy Practices, as applicable), provided by you in the form of e-mail or submissions to Totalis are non-confidential and Totalis shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

We may provide links to web pages and content of third parties (the “Third Party Content“) on the Site as a service to those interested in this information. We do not monitor nor do we have any control over any Third Party Content or third party websites or the privacy policies of such websites. Governing Law and Jurisdiction

All matters relating to the Site and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New Jersey without giving effect to any choice or conflict of law provision or rule (whether of the State of New Jersey or any other jurisdiction).  Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Jersey in each case located in the county of New Jersey, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver of by Totalis of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Totalis to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Termination

Notwithstanding any of these terms and conditions, Totalis reserves the right, without notice and in its sole discretion, to terminate your license to use this Site, and to block or prevent future access to and use of this Site.

Entire Agreement

These Terms of Use constitute the sole and entire agreement between you and Totalis with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site. The Terms of Use apply exclusively to your access to, and use of, this Site and they will not alter any terms or conditions of any other agreement you may enter into with Totalis, unless there is a conflict of provisions, in which case, the other agreement you enter into with Totalis shall govern with respect to the specific provision.
